Master Terms of Service & Agency Retainer Agreement

01. Acceptance of Terms & Master Agreement

These Master Terms of Service ("Terms") constitute a legally binding agreement between Make My Fame Studio ("Agency", "we", "us", or "our") and the client, purchaser, or user ("Client", "Customer", "you"). By commissioning any creative or technical service, retaining the Agency, purchasing any digital product, or accessing makemyfame.com, you explicitly acknowledge that you have read, understood, and agree to be bound unconditionally by these Terms.

02. Creative & Technical Retainer Services

Make My Fame provides high-performance creative production, web development, SaaS MVP engineering, and AI automation systems. Scope, deliverables, and service sprints are governed by the specific Statement of Work (SOW), proposal, or invoice issued by the Agency.

Sprint Schedules: Production sprints commence strictly following receipt of cleared retainer funds.
Revisions: Deliverables include defined revision rounds specified in your tier. Out-of-scope revisions or structural pivots will be quoted as additional sprints.
Client Cooperation: Timely delivery depends on Client providing necessary brand assets, credentials, and approvals within 48 hours of request.

03. Digital Products & Software Licensing

When purchasing downloadable digital assets, software boilerplates, SaaS codebases, or automation workflows from Make My Fame:

License Grant: You are granted a non-exclusive, non-transferable, worldwide commercial license to use, modify, and deploy the assets for your own business or client projects.
Restrictions: You may NOT sub-license, resell, redistribute, or package the source code or templates as competing digital asset stores or standalone products.
As-Is Delivery: Digital products are provided "as-is" with documented setups. Custom integrations are quoted separately.

04. Invoicing, Payments & Taxes

All payments are securely processed through registered payment gateways (including Razorpay, UPI, and verified bank transfers) with full GST compliance.

Retainers: Billed in advance on a monthly or sprint basis. Invoices carry a strict 7-day payment window.
Ad Spend: Paid advertising budgets are settled directly by the Client to advertising platforms (Meta, Google, YouTube).
Applicable Taxes: Invoices are subject to prevailing Goods and Services Tax (GST) as mandated by the Government of India.

05. Intellectual Property & Brand Rights

Upon receipt of 100% full settlement of all corresponding fees, full commercial rights to final approved creative assets, deployed web code, and custom-scripted automations transfer to the Client. The Agency retains perpetual, royalty-free rights to display non-confidential deliverables and performance metrics in its professional portfolio, case studies, and marketing materials.

06. Limitation of Liability & Third-Party Platforms

Make My Fame employs industry-leading engineering and marketing best practices. However, you acknowledge that:

Third-party platform algorithms (Meta, Google, YouTube, TikTok) and third-party APIs (OpenAI, Stripe, Razorpay) operate independently. The Agency bears no liability for algorithmic fluctuation, third-party API downtime, account restrictions, or ad account suspension resulting from external platform policy updates.
Under no circumstances shall Make My Fame's cumulative liability exceed the total fee paid by the Client in the immediate preceding 30-day period.

07. Indemnification & Governing Law

Client agrees to defend, indemnify, and hold harmless Make My Fame and its founders, officers, and contractors against any claims, losses, or expenses resulting from Client-provided content, copyright infringement, or regulatory non-compliance. This Agreement is governed by the laws of India, with exclusive jurisdiction in the courts of New Delhi, India.
